License Agreement for “Colombia Chronicles” Album

1. License Overview
   This agreement allows the licensee to use the tracks from the “Colombia Chronicles” album for personal or commercial purposes in various media, including videos, podcasts, advertisements, and other music projects, under the terms specified below.
2. License Type

• Non-Exclusive License: The licensee is granted rights to use the music, but Mwosa retains the right to license the same music to others.
• Commercial Use: The music can be used for profit-generating purposes, including monetized YouTube videos, podcasts, and advertisements.
• Worldwide Rights: The license is valid globally.
• Perpetual License: The license is granted for the lifetime of the project in which the music is used.

3. Permitted Uses
   The music may be used in:

• Online videos (e.g., YouTube, Vimeo, social media)
• Podcasts
• Film projects (independent or personal)
• Advertisements (small to mid-sized businesses)
• Public performances

4. Prohibited Uses
   The music may not be used in:

• Reselling, redistributing, or repackaging as a standalone product (e.g., stock music libraries).
• Any offensive, illegal, or defamatory content.
• Large Enterprises or Corporations without prior written approval (see Section 5).

5. Enterprise Licensing
   This license does not grant usage rights to large enterprises, corporations, or commercial entities generating over $100,000 in annual revenue. These entities must contact Mwosa directly for a separate Enterprise License, which will include additional fees and royalties. Failure to do so will result in legal action.
6. Royalties
   For any commercially monetized video, audio, or advertisement:

• The licensee agrees to pay Mwosa a 5% royalty on all revenue generated from projects using the music. This applies to YouTube, podcasts, advertisements, or any platform where revenue is generated directly from the music’s use.
• Royalty payments must be reported and paid out on a quarterly basis. Licensees are required to provide accurate revenue reports for the duration of the use.

7. Credits
   The licensee must include the following credit where possible:
   “Music by Mwosa from the ‘Colombia Chronicles’ album, used under license.”
8. Indemnification
   The licensee agrees to indemnify and hold Mwosa harmless from any claims, liabilities, or legal actions resulting from the use of the music.
9. Termination of License
   This license will be automatically terminated if:

• The terms of use are violated.
• Failure to report revenue or pay royalties in a timely manner.
• Misrepresentation of the intended use of the music.

In the case of termination, the licensee must cease all use of the music immediately.

10. Additional Terms

• No Ownership Transfer: This agreement does not transfer ownership of the music to the licensee.
• Right to Audit: Mwosa reserves the right to audit any licensee’s financial records related to the use of the music to ensure royalty compliance.
